The Epping Connection Coworking Agreement

The general understanding of working here is in the following two statements.

Treat this place well.

Treat yourself and others well.

The Epping Connection is designed to be a community, as such members are expected to be an active part in the development of The Epping Connection.

The particulars are below. Sign at the end, please!

  1. General

In consideration for the mutual benefits exchanged by The Epping Connection (the “Company”) and the undersigned (“You”, the “Member”, collectively the “Parties”), the Parties hereby agree, warrant, consent and covenant to the following terms, conditions and representations:

  1. Behaviour

The Member agrees to conduct themselves according to the policies that the Company implements from time to time regarding personal behaviour in the coworking space located at 196a High Street, Epping, Essex, CM16 4AQ, UK (the “Coworking Space”). At the Company’s sole discretion, your membership at the Coworking Space may be terminated for behaviour that violates any such policies.

  1. Membership Details

You are subscribing to the following membership category at the Company’s Coworking Space: Daily Pay As You Go, 10 Day options, or Monthly Hot Desk plans.

Payments will be taken immediately for bookings of respective plans: Daily Pay As You Go, 10 Day options, or Monthly Hot Desk plans.

For additional resources or out of plan payments, these will be taken on the 1st of each month for the previous month. This might be for additional printing, use of solo workspaces or for booking meeting rooms.

Memberships are life memberships and either party may terminate the agreement with no less than one months written notice subject to all outstanding payments due under this agreement have been made on the termination date.

Membership is automatically given on buying any of the plans.

Included in membership is: refreshments, general snacks and breakfast, and up to 50 pages of printing per calendar month.

  1. Permitted Use

You are permitted to use the Coworking Space for office purposes only and this shall be on a non-exclusive basis. Use of the Coworking Space of a ‘retail’ nature, involving frequent visits by members of the public, is not permitted.

  1. No Tenancy

The Company provides coworking services on an “as is” basis as a service and not as a lease of real property, and disclaim all warranties and conditions, whether express, implied or statutory, including, but not limited to, merchantability, title, quiet enjoyment, possession, fitness for a particular purpose or use, to the extent permitted by law.

You hereby understand, agree and warrant that you are not a tenant and the Company is not a landlord and there is no tenancy relationship whatsoever as defined in any case law or legislation, rules, or regulations as set by England and Wales.

  1. No Residency

The coworking space is a commercial facility. Using the location or your membership for the purpose of establishing a personal residence is not permitted. You hereby understand, agree and warrant that you are not a residential tenant at the coworking space.

  1. Termination

You agree not to use the coworking space for any purpose that is unlawful, prohibited, or that could damage, disable or impair the property of the Company or of other members, or prevents other members from enjoying the coworking space, or that would damage the reputation or business of the Company and the coworking space.

You also agree not to use the coworking space in connection with: (a) Lottery contests, pyramid schemes, chain letters, junk email, spamming or similar behaviour; (b) Defaming, abusing, harassing, threatening or otherwise violating the legal rights (such as privacy and publicity) of others; (c) Posting, distributing or disseminating inappropriate, profane, defamatory, obscene, indecent, or unlawful material or information; (d) Uploading, reproducing, using, performing or otherwise making available, images, software or other material or information which infringes another’s rights, or is protected by intellectual property laws where you don’t own or license such rights; and (e) Uploading or using files that contain viruses, corrupted files, or any other similar software or programs that may damage the computers or property of the coworking space or another member.

The Company may also terminate your agreement by giving you notice if: a) You become insolvent. b) Your conduct, or that of someone at the Coworking Space with your permission or at your invitation is incompatible with ordinary office use.

If the Company terminates your agreement for any of these reasons it does not put an end to any outstanding obligations you may have and you must:

a) Pay for additional services you have used. b) Pay the membership fee for the remainder of the period for which your agreement would have lasted had the Company not ended it, or (if longer) for a further period of three months; and c) Indemnify the Company against all costs and losses it incurs as a result of the termination.

  1. Changes

The rules and policies of the coworking space may change from time to time. We will notify members of material changes.

  1. Non-Disclosure

In your presence at the coworking space, you may learn of confidential information of the Company or of its members. Such confidential information may include business information, trade secrets, technology, processes, customers and prospects that is intended to be confidential and proprietary. You hereby agree and consent to not disclose information that you obtain that was intended to remain confidential.

  1. Repairs and Maintenance

The Company shall maintain the coworking space in good repair and working order. If you notice any problems requiring repair, please notify the Company and it shall be remedied promptly.

You must take good care of all parts of the Coworking Space, its equipment, fittings and furnishings which you use. You must not alter any part of it. You are liable for the damage caused by you or those in the Coworking Space with your permission or at your invitation.

  1. Pet Policy

The Epping Connection is a pet-friendly coworking space. We believe that pets can foster a friendlier and happier working environment. Pets are fun, playful and can have positive influence on our work. Members of the Coworking Space are allowed to have their pets at work when they wish.

Office pets are usually dogs and cats, but any pet that’s well-trained and not potentially dangerous or unpleasant is also allowed. Young animals aren’t allowed until they’re adequately trained. Pets like snakes, spiders and bunnies (which chew up cords) are prohibited in the workplace.

Generally, we want to ensure that our Coworking Space and members’ pets are cared for properly. Pet owners should clean up after their pets. They’re solely responsible for their pet’s behaviour and well-being. They should supervise their pets in the workplace or know their location at all times. More specifically, they should make sure their animal doesn’t:

• Make a mess • Fight with other office pets • Wander in prohibited places • Endanger themselves or others • Damage company or employee property • Annoy coworkers (e.g. barking constantly, climbing on their desks)

Prohibited places include: the kitchen, and meeting rooms.

  1. Bring Your Own Device

As a coworking space, The Epping Connection does not provide any technology for you to use. You are free to bring your own devices and technology to carry out your work, so as long as these devices and technology do not breach this agreement or cause technological or business problems. In the case your device or technology does cause serious issue, you membership may be removed.

  1. Security

Access to the Coworking Space is only through using the Salto KS smart key app. This allows you as a member to have full access to the Coworking Space and not restricted by needing to be allowed in by a receptionist.

On-site there are security cameras always recording the Coworking Space. This is for your safety and security and that of other members.

  1. Access Out of Hours

Regular opening hours of the Coworking Space are 8am-6pm, Monday-Friday. At the weekends and bank holidays, the Coworking Space will not be open.

If you are using the Coworking Space out of regular hours, you are free to do so using the Salto KS smart key app. You are expected to leave the Coworking Space in the same usable condition and not leave mess or untidiness. Out of regular hours there will not be support and if there are any issues, you have to report these through the Nexudus app. This will raise a ticket which the team at the Coworking Space will aim to resolve as soon as is reasonable.

  1. Liability

You hereby waive and hold harmless the Company, its members, officers, directors, shareholders, contractors and employees (the “Releasees”) from any claims, liability, actions, or suits with respect to any damages, injuries or losses you suffer to your person or property, whatsoever, including as a result of negligence or gross negligence on the part of the Releasees, including but not limited to any direct, special, incidental, indirect, punitive, consequential or other damages whatsoever (including, but not limited to, damages for lost profits, loss of confidential or other information, business interruption, personal injury, loss of privacy, failure to meet any duty (including of good faith or of reasonable care), negligence, and any other loss) arising out of or in any way related to the Company’s services or otherwise.

  1. General

This agreement may not be assigned without the prior written consent of the Company. The laws of England shall govern the terms of this agreement any disputes between the Parties. The Parties hereby submit to the jurisdiction of the courts in England. In the event that a provision in this agreement is determined to be invalid or unenforceable, the remaining provisions of this agreement shall be unaffected and shall remain in full force and effect.
